1. Scope of Agreement. This Agreement represents the entire agreement between you and iSucceed, Inc. concerning your use of this site and all software, products, resources, information, content and materials on the site (collectively, the "Site"), superseding all prior agreements between us regarding the subject matter of this Agreement. The term "use" or "using" means the use and availability of, access to, transmission to or from, or any exchange of information or communication in connection with or arising from this Site. By using the Site or any of its contents, you agree to comply with the terms of use provided in this Agreement. You must also comply with any additional terms that apply to third party content, software, products or other services. We reserve the right to modify the terms and conditions of this Agreement at any time. Your continued use of the Site signifies your acceptance of any changes in this Agreement. If any change is not acceptable to you, your sole remedy is to discontinue your use of the Site. It is your responsibility to check these Terms of Use and our Privacy Policy from time to time.

2. Registration Information. You agree to provide us with accurate and complete registration information, and to advise us promptly of any changes. If you do not, you will breach of this Agreement, allowing us to immediately terminate your use of the Site. When you register or subscribe to certain services, you will receive a user name and password that we may assign or allow you to select. You are responsible for maintaining the confidentiality of your password and account information. Each registration is for a single user. You are not permitted to: (i) share your user name or password with others, (ii) cache any part of the Site in proxy servers to allow access by individuals who have not registered at the Site, or (iii) access the Site through a single user name and password being made to multiple users on a network. If we believe that a user name and password are being used in a manner not permitted under this Agreement, we reserve the right to cancel your access rights immediately and without notice and block access to all users from that IP address.

3. Fees and Payments. You agree to pay or have paid all fees, charges, and any applicable taxes incurred in connection with your user name and/or password for the Site, including any unauthorized charges, at the rates in effect when the charges were incurred. Our current fees and charges are posted on the Site. If you pay us by credit card or other payment instrument, or by allowing us to withdraw funds from an account designated by you, and we do not obtain full payment, you agree to pay all amounts due upon our demand. Each time you use the Site, you reaffirm your authorization to us to charge or withdraw funds from your account.

4. Membership or Unlimited Access Fees. Participation in a membership or unlimited access fee program allows you unlimited access to certain courses and training materials included in the program. Payment of the monthly membership or monthly unlimited access fee is due monthly in advance. If you select the annual membership or annual unlimited access program, fees are due annually in advance. At the end of your annual membership, your membership will automatically convert to a month to month membership until this Agreement is terminated. You will continue to incur fees until this Agreement is terminated. If you decide to cancel your membership or unlimited access fee program after the expiration of the guarantee period, you will not be entitled to a refund.

How does the Money-Back Guarantee Work?
The guarantee is simple.  You must be an iSucceed member for a continuous 12-month period of time, (paid annual or month to month memberships apply).  Every week, you must complete one success module of your choice, and one counseling call of your choice.  iSucceed provides a tracking system under “My Account” in the transcript section of all the modules and counseling calls that you have completed.   If after one year of membership, and upon completion of the required success modules and counseling calls, you have not increased your annual production by at least one additional closed transaction, you may submit within 30 days after your one year anniversary date of joining iSucceed, a request for a refund of your 12 months of membership fees.

Other Products and Services. The fees for purchases of other products and services on the Site are listed next to the specific product or service.

4. License and Restrictions. All content available through the Site is the sole property of our company or our licensors and is protected by copyright, trademark and other intellectual property laws. You have no rights to the content available through the Site and will not use the content except as permitted under this Agreement. You are granted a non-exclusive, non-transferable, limited license to access, view and use the content on the Site. Content owned by our licensors or third parties may be subject to additional restrictions, and you will comply with any third party notices posted on the Site. Unless we give you written permission, you may only use, access, download, reformat and print one copy of the content for your personal use, keeping all our copyright and other notices on the content. You agree not to reproduce, loan, transfer, sell, circulate, publish or otherwise distribute the content received through the Site to anyone, including, but not limited to others within the same company, without our prior written permission. "Success Tools" may be downloaded, reformatted and printed for your own use only in implementing your own personal marketing plans.

5. Site Use and Conduct. You may not use, or allow others to use, your user name or password to the Site, indirectly or directly, to upload, distribute, transmit, communicate, link to, publish or access any material or information that: (i) is libelous, obscene, threatening, objectionable, offensive or harassing, (ii) violates any law or the rights of others, (iii) reflects negatively on the Site, or (iv) infringes upon any intellectual property, proprietary rights or the confidentiality obligations of others. If you have prepaid for access to the Site or any content on the Site, you will not be entitled to a refund or credit after the expiration of any money-back guarantee period. If your right to use the Site terminates, you may not use the Site or the content on the Site without our express written permission. You may not allow anyone else whose access to the Site was terminated to access the Site through your account, user name or password.

9. Miscellaneous. This Agreement is personal to you, and you may not assign your rights and obligations to anyone else. If any provision in this Agreement is invalid or unenforceable under applicable law, the remaining provisions will continue in full force and effect. This Agreement, your rights and obligations and all actions contemplated by this Agreement shall be governed by the laws of the State of California. You agree that the federal or state courts of the State of California shall have exclusive jurisdiction and that venue shall be in the County of San Diego, California. You agree and consent to the exercise of personal jurisdiction in the State of California. This Agreement may not be modified, except in writing, signed by an authorized officer of our company.
